Annual General Meeting Agenda

Notice is hereby given that the Annual General Meeting of PESGB Limited (Charity) will be held at Geological Society Lecture Theatre at  Burlington House, Piccadilly, London W1J OBD on Tuesday 13 May at 6.00 pm where the following business will be transacted:

1.         The following special resolution will be proposed:

“THAT the Articles of Association of the Charity produced to the meeting be and are hereby adopted as the new Articles of Association of the Charity in substitution for, and to the exclusion of, the existing Articles of Association of the Charity.”

            A draft of the new proposed Articles of Association were included in the April PESGB Newsletter. The changes introduced in the new Articles of Association include the following:

a.       to dispense with the appointment and retirement of trustees and the President at the AGM;

b.       to allow electronic and postal ballot voting of trustees to take place between October and December of each year with the appointment being announced at the President’s Evening in December;

c.       to allow for a handover of the trustees’ duties at the trustee meeting in January where the new trustees will be appointed and the retiring ones will retire;

d.       to allow for electronic communications using email and the Charity website;

e.       to increase the maximum number of trustees from 10 to 13;

f.         to bring the Articles in line with the new Companies Act 2006, in particular by allowing general meetings to be called on 14 days notice (rather than 21), to remove chairman’s casting vote for members’ meetings and to permit written resolutions to be passed by requisite majority (rather than unanimously).

2.         To receive the accounts of the Charity for the previous financial year.

3.         To receive the Trustees’ report on the Charity’s activities since the previous Annual General Meeting.

4.         To appoint Newman Peters as auditors of the Charity.

5.         To confer on Jerry Chessell the honorary title of President of the Charity for 2008.
